What is annual general meeting?

It is a meeting of shareholders of a company which has to be convened once every year or not later than 15 months from the last general meeting

What is the purpose of general meetings?

  • For shareholders to consider issues relating to the financial report, the directors’ report, the auditor’s report

  • For shareholders to elect directors of the company

  • For any other issues concerning the company

What is extraordinary general meeting?

Any meeting of shareholders other than the annual general meeting.

 


 

Should shareholders attend general meeting?

Yes they should as this is the only occasion when they can questions the management of the company on policies or decisions taken.

If a shareholder wishes to vote in a general meeting but is unable to attend the meeting in person, can a representative attend on his behalf?

Yes, that shareholder may do so by appointing a person as his proxy to attend and vote on his behalf.

Can anyone be appointed as a proxy?

Some companies require that a proxy  must be a shareholder of the company. If a non-shareholder is appointed as a proxy then he must be a advocate and solicitor or a company auditor.
